Terms of Service

These Terms of Service ("Terms") govern the access and use of EtheraGuru, a tutoring management platform owned and operated by EtheraEdge Limited (UK) and EtheraEdge Solutions Private Limited (India) ("EtheraEdge", "we", "our", "us").

By creating an account or using EtheraGuru, you ("Customer", "you", "your") agree to these Terms. If you do not agree, you may not use the Services.

1. Parties

  • For customers outside India: Services are provided by EtheraEdge Limited, Company No. 15111901, 128 City Road, London, EC1V 2NX, United Kingdom.
  • For customers in India: Services are provided by EtheraEdge Solutions Private Limited, CIN U62012KL2024PTC088609, Kanjirakkattu House, Kalampoor, Enanalloor P.O, Muvattupuzha, Kerala, India – 686673.

2. Services

  • EtheraGuru provides tutoring businesses with tools to manage courses, batches, tutors, students, parents, and payments.
  • We do not provide tutoring or educational services ourselves.
  • Service availability may vary due to maintenance, upgrades, or external factors. We will make reasonable efforts to provide advance notice of planned downtime.

3. Eligibility

  • You must be a business owner, authorized representative, or legally permitted individual to use EtheraGuru.
  • You must be at least 18 years of age to create an account.
  • You must provide accurate and complete registration information.
  • You are responsible for all activity under your account.

4. Customer Data

  • You retain ownership of all data you upload (including student and parent details).
  • You grant EtheraEdge a limited license to host, process, and transmit the data solely to provide the Services.
  • Tutoring businesses are Data Fiduciaries / Controllers for student/parent data. EtheraEdge acts as a Data Processor, handling such data only on your behalf and under your instructions, as set out in the Data Processing Agreement (DPA).
  • For your own business contact and billing data, EtheraEdge is the Data Fiduciary / Controller.
  • The applicable data protection framework depends on your location:
    • For customers in India: The Digital Personal Data Protection Act, 2023 (DPDPA) and the Information Technology Act, 2000 apply.
    • For customers outside India: The applicable data protection laws of your jurisdiction (e.g., UK GDPR, EU GDPR) apply.

5. Responsibilities of Customers

  • Ensure you have obtained all necessary consents and lawful basis to process and upload student/parent data, including verifiable parental consent for data of students below 18 years of age as required under the DPDPA and other applicable data protection laws.
  • Comply with the DPDPA (for Indian customers) or applicable data protection laws when processing student and parent personal data through EtheraGuru.
  • Maintain the confidentiality of login credentials.
  • Use the Services only in compliance with applicable laws (education, data protection, communications, consumer protection, etc.).
  • Do not misuse the Services (fraud, unauthorized access, unlawful content, spam).
  • Respond to Data Principal / Data Subject requests (access, correction, erasure) from students and parents in a timely manner. EtheraEdge will provide reasonable assistance in fulfilling such requests.

6. Payment and Subscription

  • Fees are charged according to the plan chosen at signup or renewal.
  • All fees for Indian customers are denominated in Indian Rupees (INR) and are exclusive of applicable Goods and Services Tax (GST), which will be charged as per prevailing rates.
  • Invoices must be paid on or before the due date.
  • Subscriptions auto-renew unless cancelled at least 7 days prior to the renewal date. You may cancel your subscription at any time through account settings or by contacting us.
  • Fees are non-refundable except where required by applicable law, including the Consumer Protection Act, 2019 (for Indian customers).
  • For any billing disputes, please contact us within 30 days of the invoice date.

7. Intellectual Property

  • EtheraEdge retains all rights in the EtheraGuru platform, including software, trademarks, designs, and documentation.
  • Customers may not copy, reverse-engineer, or resell the Services.
  • Customer logos and business names will not be used for marketing or promotional purposes without prior written consent from the Customer.

8. Data Protection and Privacy

  • Our use of personal data is governed by the Privacy Policy.
  • A Data Processing Agreement (DPA) forms part of these Terms and applies to all student/parent data processed through EtheraGuru. The DPA is available at Data Processing Agreement.
  • The DPA sets out EtheraEdge's obligations as a Data Processor, including security measures, sub-processor disclosures, data breach notification procedures, and data deletion/return obligations.
  • We implement reasonable technical and organisational security measures to protect data but cannot guarantee absolute security.
  • For Indian customers, our data processing practices comply with the Digital Personal Data Protection Act, 2023 (DPDPA) and the Information Technology Act, 2000.

9. Confidentiality

Both parties agree to keep each other's confidential information secure and not disclose it except where required by law, regulation, or court order.

10. Third-Party Services

The Services rely on third-party providers for hosting, payment processing, authentication, analytics, and communications. Key third-party service providers include:

  • WorkOS – Authentication and identity management
  • Cashfree Payments – Payment gateway (PCI-DSS compliant)
  • PostHog – Product analytics and error tracking
  • Meta / Azure Communication Services – WhatsApp messaging

EtheraEdge ensures appropriate contractual protections (including data processing terms) are in place with all third-party providers. EtheraEdge is not liable for the actions of third-party providers but will use reasonable efforts to select providers that maintain appropriate security and privacy standards.

11. Termination

  • Customers may terminate accounts at any time through account settings or by contacting us.
  • EtheraEdge may suspend or terminate accounts for violations of these Terms, non-payment, or legal requirements. We will provide reasonable notice except in cases of material breach.
  • Upon termination:
    • Customer may request a data export in a machine-readable format within 30 days of termination. We will provide the export within a reasonable timeframe.
    • After the 30-day period, Customer data (including student/parent data) will be securely deleted, except where retention is required by applicable law (e.g., tax or financial regulations).
    • Any prepaid fees for unused subscription periods will be refunded on a pro-rata basis (except where termination is due to Customer's breach).

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond reasonable control, including but not limited to natural disasters, pandemics, government-ordered restrictions, internet outages, or acts of war. The affected party will notify the other party promptly and make reasonable efforts to mitigate the impact.

13. Disclaimers

  • Services are provided "as is" and "as available."
  • We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement to the maximum extent permitted by applicable law.
  • Nothing in these Terms shall exclude any warranty or right that cannot be excluded under applicable Indian consumer protection law, including the Consumer Protection Act, 2019.

14. Limitation of Liability

  • Our total liability in any 12-month period is limited to the fees paid by the Customer during that period.
  • We are not liable for indirect, incidental, or consequential damages (loss of data, revenue, goodwill, etc.).
  • Nothing in this section excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot be excluded under applicable law.

15. Indemnity

Customers agree to indemnify and hold EtheraEdge harmless from claims arising from:

  • Customer's misuse of the Services.
  • Unlawful or unauthorized processing of student/parent data.
  • Failure to obtain required consents (including parental consent under the DPDPA).
  • Violation of these Terms.

16. Dispute Resolution

  • For Indian customers: In the event of any dispute arising from these Terms, both parties will first attempt to resolve the matter amicably through mediation within 30 days of written notice. If mediation is unsuccessful, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, to be conducted in Ernakulam, Kerala. Alternatively, either party may approach the competent civil courts of Ernakulam, Kerala. Nothing in this clause prevents either party from approaching the appropriate Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019.
  • For all other customers: Laws of England and Wales apply; courts of London have jurisdiction.

17. Governing Law

  • For Indian customers: These Terms are governed by and construed in accordance with the laws of India, including the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000, and the Consumer Protection Act, 2019.
  • For all other customers: These Terms are governed by the laws of England and Wales.

18. Modifications

We may update these Terms from time to time. Material changes will be communicated to Customers via email or in-app notification at least 15 days before they take effect. Continued use of the Services after the effective date of changes constitutes acceptance of the updated Terms.

19. Grievance Officer (India)

In compliance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the DPDPA, EtheraEdge Solutions Private Limited has appointed a Grievance Officer. The Grievance Officer's details are:

Complaints will be acknowledged within 48 hours and resolved within 30 days of receipt.
